SIGN MARKETING AGREEMENT

Deal Makes it Easier for Students to
Find Accredited College Courses
Over the Internet

VENICE, Calif. - August 16, 1999 - College Broadcast, the leading provider of broadband entertainment for college students, today announced an affiliate marketing agreement with eCollege.com, a leading provider of Internet education technology and services to educators for in-classroom and online learning. The agreement greatly expands students' online learning options to fulfill degree requirements.

College Broadcast provides entertainment programming to students via high-speed Internet and college cable TV systems. Launching in September, College Broadcast's vertical broadband Internet portal (collegebroadcast.com) will feature an "eCollege.com Learning Channel" as a learning resource for students. On this channel, eCollege.com (ecollege.com) will provide students with information on a wide variety of courses and degrees available over the Internet, including how students can apply for eCollege.com sponsored scholarships for online courses and programs.

With college campuses across the nation facing overflowing enrollments, college students often find it difficult to enroll in popular courses they need for their degree completion. The hundreds of online courses and degrees offered by eCollege.com's higher education partners give college students a flexible, convenient outlet for taking some of their courses via the Internet. Among the broad range of undergraduate and graduate programs available are courses in accounting, communications, sciences and religious studies, and many more.

One of the key components of eCollege.com's value proposition to universities is its commitment to helping its partners increase enrollments in the courses and degrees they offer. As an affiliate partner, College Broadcast will be given financial incentives for helping refer college students to enroll in eCollege.com partner's courses.
